Professional Disclaimer
1. General Information
This Professional Disclaimer applies to the website, consultations, proposals, reports, presentations, assessments, recommendations, workshops, communications, and other materials provided by Delmion Advisory. Our Services are designed to support business analysis and management decision-making. They are not a substitute for advice from a licensed or regulated professional where such advice is required.
By using the website or engaging our Services, you acknowledge that business decisions involve uncertainty and that you remain responsible for evaluating and acting on the information provided.
2. Business Consulting Only
Delmion Advisory provides general business consulting and strategic advisory services relating to operations, planning, organizational efficiency, process improvement, and sustainable growth. We do not operate the Client’s business, exercise executive authority, or assume responsibility for management decisions.
Any recommendation is provided for the specific context, assumptions, information, and objectives identified during the engagement. It should not be treated as a universal rule or as advice for another organization.
3. No Legal Advice
Nothing on this website or in our Services constitutes legal advice, legal representation, or an attorney-client relationship. We do not interpret law for the purpose of giving a formal legal opinion, draft regulated legal instruments as counsel, or represent clients before courts or regulators.
The Client should consult qualified legal counsel regarding contracts, employment matters, privacy, intellectual property, licensing, regulatory obligations, disputes, corporate governance, and other legal issues.
4. No Tax, Accounting, or Audit Advice
We do not provide tax advice, accounting opinions, audit services, assurance, attestation, bookkeeping certification, or financial statement verification unless expressly provided by an appropriately licensed professional under a separate engagement.
Financial models, budgets, forecasts, or cost analyses supplied as part of business consulting are management tools based on assumptions. They should be reviewed by the Client’s accountant, tax adviser, or auditor before being used for filings, reporting, financing, or compliance decisions.
5. No Investment, Securities, or Financing Advice
Our Services do not constitute investment advice, securities recommendations, brokerage services, fundraising placement, credit advice, or a recommendation to buy, sell, hold, or issue any financial instrument.
Any discussion of funding, capital needs, valuation assumptions, or financial strategy is general business planning. Clients and investors should perform independent due diligence and obtain advice from authorized financial, legal, and tax professionals.
6. No Employment or Human Resources Legal Advice
Organizational design, role clarity, workflow, and staffing recommendations are operational observations and not employment-law advice. The Client is solely responsible for hiring, termination, compensation, classification, workplace investigations, benefits, accommodations, labor relations, and compliance with employment laws.
The Client should involve qualified human-resources and legal professionals before making decisions that materially affect personnel.
7. No Regulatory or Licensing Assurance
We do not guarantee that a business model, process, product, communication, or operating practice satisfies every law, permit, license, industry standard, or regulatory requirement. Regulatory obligations vary by location, industry, customer type, and activity.
The Client is responsible for identifying and satisfying applicable requirements and for obtaining professional advice or regulatory approval where necessary.
8. No Guaranteed Results
We do not guarantee revenue growth, profitability, cost reduction, efficiency gains, funding, market entry, customer acquisition, organizational adoption, successful implementation, or any other commercial result.
Results depend on factors outside our control, including leadership decisions, execution quality, staffing, competition, economic conditions, technology, capital, customer behavior, regulation, timing, and unforeseen events.
9. Forecasts and Forward-Looking Information
Forecasts, scenarios, projections, roadmaps, and estimates are forward-looking and inherently uncertain. They are based on assumptions and information available at the time and may differ materially from actual outcomes.
The Client should stress-test important assumptions, maintain contingency plans, and update forecasts as conditions change. We have no continuing duty to revise a completed forecast unless ongoing updates are part of the scope.
10. Information Supplied by the Client
Our work may rely on information, data, documents, interviews, and representations supplied by the Client or its representatives. Unless verification is expressly included, we do not independently audit that information.
We are not responsible for errors, omissions, or unsuitable recommendations caused by inaccurate, incomplete, outdated, misleading, or selectively presented information.
11. Public and Third-Party Information
We may reference public reports, industry publications, software outputs, market information, or third-party sources. Such information may be incomplete, delayed, revised, or subject to methodology limitations.
Reference to a source does not constitute endorsement, and we do not warrant the accuracy, availability, or completeness of information controlled by third parties.
12. Technology and Automated Tools
We may use ordinary business software, analytics tools, or automated assistance to support research, organization, drafting, and project administration. Professional judgment remains necessary, and automated outputs may contain errors or require contextual review.
The Client should not treat any automated output as independently verified fact, legal authority, or guaranteed prediction. Sensitive or regulated decisions require appropriate human and professional review.
13. Implementation Risk
A recommendation may require adaptation, testing, change management, training, legal review, budget approval, or technical validation before implementation. The Client is responsible for determining readiness and for controlling implementation.
We are not responsible for consequences of partial implementation, unauthorized modification, delayed action, use outside the intended context, or implementation by third parties unless the relevant implementation work is expressly included in scope.
14. Decisions Affecting Third Parties
The Services should not be used as the sole basis for decisions that materially affect employees, applicants, customers, suppliers, investors, lenders, or other third parties. The Client must apply appropriate review, fairness, due process, and legal compliance to such decisions.
15. Website Content
Website content is provided for general informational and marketing purposes. It may summarize complex subjects and may not reflect the latest development in every industry or jurisdiction. Accessing the website does not create a consulting relationship.
A consulting relationship begins only through an accepted Engagement Document and satisfaction of any stated onboarding or payment conditions.
16. Testimonials, Examples, and Illustrations
Any testimonial, example, hypothetical scenario, description of experience, or illustrative result is not a promise that another Client will achieve the same outcome. Each engagement involves different facts, capabilities, risks, and market conditions.
Illustrations may be simplified or anonymized to protect confidentiality and improve readability.
17. External Links and Services
The website or deliverables may refer to external websites, vendors, software, or services. We do not control those resources and are not responsible for their content, availability, security, pricing, or practices.
The Client must conduct its own review and accept the third party’s terms before use.
18. Professional Independence
We seek to provide candid and objective business advice based on the agreed scope. The Client is not required to adopt any recommendation, and payment of consulting fees does not entitle the Client to a predetermined conclusion.
We may decline to support a course of action that we reasonably believe is unlawful, deceptive, unsafe, professionally inappropriate, or outside our competence.
19. No Fiduciary Relationship
Unless a written agreement expressly states otherwise and applicable law permits it, Delmion Advisory does not act as a fiduciary. The relationship is that of independent contractor and Client. The Client retains custody and control of its property, systems, funds, and decisions.
20. Time-Sensitive Information
Business conditions, laws, prices, technology, and market information change. A deliverable speaks as of the date or period for which it was prepared. We have no obligation to monitor later developments or update completed work unless ongoing monitoring is included in the engagement.
21. Limitation of Reliance
Deliverables are prepared for the named Client and intended purpose. Third parties should not rely on them without our prior written consent. We assume no duty to an unauthorized recipient.
The Client should not remove qualifications, assumptions, limitations, or context when sharing an approved deliverable.
22. Liability and Contract Terms
The warranties, exclusions, remedies, and limitations of liability applicable to the Services are stated in the Terms and Conditions and the Engagement Document. This Disclaimer supplements those terms and should not be read as expanding our obligations.
23. Questions About This Disclaimer
Questions about the professional scope of a proposed service should be raised before the Engagement Document is accepted. Where a matter requires regulated advice, we may recommend that the Client obtain assistance from an appropriately qualified professional.
